Terms of Service

Last updated: July 17, 2026. Review legal agreements governing custom engineering contracts, IP transfers, and liability boundaries.

These Terms of Service ("Terms") govern the provision of custom software development, cloud orchestration, QA testing, and consultant operations by Fox Lab Technologies ("Company") to the client company ("Client"). By engaging our services, you agree to these Terms.

1. Engineering Scope & SOW

All custom software project deliverables, schedules, milestone pipelines, and payment stages will be documented in a written Statement of Work (SOW) signed by both parties. Any adjustments to the SOW require a formal change request approval.

2. Intellectual Property (IP) Ownership

Upon receipt of full invoice payments for the corresponding SOW milestones:

  • All custom code, database lines, design layouts, and documents built specifically for the Client transfer entirely to the Client's ownership.
  • Company retains ownership of our pre-existing code libraries, general utilities, algorithms, and developer tools used during construction.
  • Company grants Client a non-exclusive, perpetual, royalty-free, worldwide license to use, copy, and modify any pre-existing company utilities embedded in the deliverables.

3. Client Approvals & Acceptance

Upon delivery of a SOW milestone to staging repositories:

  • Client has ten (10) business days to review, test, and audit the milestone.
  • If Client identifies bugs or variance from SOW specifications, Company will refactor elements at no additional charge.
  • If no feedback is received within the ten-day review timeline, the milestone is deemed accepted, and subsequent billing commences.

4. Code Warranties & SLA

Company warrants that for a period of thirty (30) days following final deployment, the custom software will perform substantially in accordance with the specifications in the SOW. This warranty does not apply to bugs caused by client modification, third-party API changes, or hosting failures.

5. Limitation of Liability

To the maximum extent permitted by law, in no event shall either party be liable for any indirect, special, incidental, or consequential damages (including loss of profits, data corruption, or system downtime). Company's aggregate liability under any SOW is capped at the total amount paid by Client for services in the preceding six (6) month period.
